1. About Simplifio
Simplifio provides AI automation and system design services to businesses in New Zealand. Services may include consultation, design, development, deployment, and support of custom AI systems and automated workflows.

2. Services
Simplifio provides services on a project, subscription, or ongoing support basis as agreed in writing.
Services may include
business process review
AI automation design
system configuration
testing and deployment
maintenance or support services
All services are provided based on information supplied by the client. The client is responsible for ensuring that information provided is accurate, complete, and lawful.
3. Client responsibilities
The client agrees to
provide accurate and timely information
ensure they have the right to share any data, documents, or system access provided
maintain appropriate internal controls and approvals
use delivered systems in compliance with applicable laws and regulations
Simplifio is not responsible for issues arising from incorrect information, unauthorised data access, or misuse of systems by the client or third parties.
4. AI systems and limitations
AI systems are probabilistic by nature and may generate outputs that are incomplete, inaccurate, or unexpected.
The client acknowledges that
AI outputs should be reviewed before reliance or use
AI systems do not replace professional, legal, financial, or medical advice
automation outcomes may vary based on data quality and system usage
Simplifio does not guarantee specific business outcomes, revenue increases, or cost savings.
5. Data and privacy
Client data remains the property of the client at all times.
Simplifio will
use client data only to deliver agreed services
not reuse client data for other clients
not use client data to train public AI models
Data handling is governed by the Privacy Policy published on our website.
6. Third party platforms
Services may involve third party platforms such as AI providers, automation tools, or cloud services.
Simplifio is not responsible for
third party service outages
changes to third party pricing or features
third party terms or data handling practices
The client agrees to comply with all relevant third party terms.
7. Fees and payment
Fees are agreed in writing prior to commencement of services.
Unless otherwise stated
invoices are payable within fourteen days
fees are exclusive of GST unless stated otherwise
Late payments may result in suspension of services until payment is received.
8. Intellectual property
Unless otherwise agreed in writing
Simplifio retains ownership of pre existing tools, templates, frameworks, and know how
the client receives a licence to use delivered systems for internal business purposes
Custom solutions developed specifically for the client may be transferred or licensed as agreed in writing.
9. Confidentiality
Both parties agree to keep confidential any non public business, technical, or commercial information shared during the engagement.
This obligation survives termination of services.
10. Warranties and disclaimers
Services are provided on an as is basis to the extent permitted by law.
Simplifio makes no warranties that services will be error free, uninterrupted, or suitable for every purpose.
Nothing in these Terms limits rights under the New Zealand Consumer Guarantees Act where applicable.
11. Limitation of liability
To the maximum extent permitted by law
Simplifio is not liable for indirect, incidental, or consequential loss
total liability is limited to the fees paid for the services giving rise to the claim
This includes loss of profits, business interruption, or data loss.
12. Termination
Either party may terminate services by written notice where
the other party materially breaches these Terms
fees remain unpaid
continuation becomes unlawful
Upon termination, outstanding fees remain payable.
13. Force majeure
Simplifio is not liable for failure to perform services due to events beyond reasonable control, including outages, natural disasters, or third party service failures.
14. Governing law
These Terms and Conditions are governed by the laws of New Zealand. Any disputes are subject to the exclusive jurisdiction of New Zealand courts.
15. Changes to these Terms
Simplifio may update these Terms and Conditions from time to time. Updated versions will be published on our website.
